SurePrice provides software that allows homeowners to receive estimated HVAC pricing and enables participating contractors to manage pricing, leads, and related business information.

SurePrice does not manufacture HVAC equipment, perform HVAC installations or repairs, or guarantee that any contractor will perform services.

3. Estimates Are Not Final Quotes

All pricing displayed by SurePrice is intended solely as an informational estimate.

Actual project pricing may vary based on factors including, but not limited to:

• Equipment selection
• Existing system conditions
• Home layout
• Code requirements
• Electrical upgrades
• Ductwork modifications
• Accessibility
• Permit requirements
• Labor costs
• Site-specific conditions

Only a contractor can provide a final written proposal after evaluating the property.

SurePrice makes no guarantee that displayed estimates will match a contractor's final price.

4. Contractor Relationships

SurePrice is a technology platform.

Contractors using SurePrice are independent businesses and are not employees, agents, partners, or representatives of SurePrice.

SurePrice is not responsible for:

• Contractor workmanship
• Scheduling
• Delays
• Pricing decisions
• Warranties
• Permits
• Licensing
• Insurance
• Property damage
• Customer disputes

Any agreement for HVAC services exists solely between the homeowner and the selected contractor.

5. User Accounts

Certain features require an account.

You agree to:

• Provide accurate information
• Keep login credentials confidential
• Maintain current account information
• Notify us immediately of unauthorized account access

You are responsible for all activity occurring under your account.

6. Contractor Accounts

Contractors agree that they:

• Are properly licensed where required
• Maintain required insurance
• Comply with applicable laws and regulations
• Provide accurate pricing information
• Maintain accurate business information
• Are responsible for communications with homeowners

SurePrice reserves the right to suspend or terminate contractor accounts for misuse, fraud, or violations of these Terms.

7. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes
• Attempt unauthorized access
• Interfere with platform security
• Upload malicious software
• Reverse engineer the software
• Scrape or harvest data
• Impersonate another person or business
• Submit false information
• Abuse or disrupt the Services

8. Intellectual Property

All content, software, graphics, logos, pricing algorithms, designs, trademarks, and technology provided through SurePrice remain the property of SurePrice or its licensors.

You may not:

• Copy
• Modify
• Redistribute
• Sell
• License
• Reverse engineer
• Republish

without prior written permission.

9. Availability

We strive to provide reliable service but do not guarantee uninterrupted availability.

Services may occasionally be unavailable due to:

• Maintenance
• Software updates
• Internet outages
• Third-party provider failures
• Security events
• Force majeure events

10. Third-Party Services

SurePrice integrates with third-party services including payment processors, CRM systems, analytics providers, email services, and other software platforms.

We are not responsible for third-party products or services.

Your use of those services is governed by their respective terms and privacy policies.

I agree to receive transactional messages, account alerts, onboarding notifications, customer support messages, and promotional messages from MC JAGGI HOLDINGS LLC dba SurePrice regarding my free trial, account, and SurePrice services.

Wireless carriers are not liable for delayed or undelivered messages.

12. Payments

Certain features may require paid subscriptions.

By purchasing a subscription, you agree to pay all applicable fees.

Unless otherwise stated:

• Subscription fees are billed in advance.
• Fees are non-refundable except where required by law.
• Failure to pay may result in suspension or termination of Services.

Future subscription plans may automatically renew unless canceled before the renewal date.

13. Suspension and Termination

Termination does not relieve users of obligations incurred before termination.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUREPRICE DISCLAIMS ALL WARRANTIES, INCLUDING:

• UNINTERRUPTED OPERATION
• ERROR-FREE PERFORMANCE

We do not guarantee that the Services will always be available or free of defects.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUREPRICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THIS INCLUDES DAMAGES RELATED TO:

• LOST PROFITS
• LOST BUSINESS
• LOST DATA
• LOST REVENUE
• BUSINESS INTERRUPTION
• PROPERTY DAMAGE
• PERSONAL INJURY
• CONTRACTOR PERFORMANCE

IN NO EVENT SHALL SUREPRICE'S TOTAL LIABILITY EXCEED THE AMOUNT PAID TO SUREPRICE BY THE USER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to defend, indemnify, and hold harmless SurePrice and its owners, employees, affiliates, contractors, and partners from any claims, damages, liabilities, costs, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of applicable law
• Your content
• Your interactions with other users

17. Privacy

Your use of SurePrice is also governed by our Privacy Policy.

By using the Services, you acknowledge that you have reviewed the Privacy Policy.

18. Modifications

We reserve the right to modify these Terms at any time.

Updated Terms become effective upon posting.

Continued use of the Services constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law principles.

Any legal action relating to these Terms shall be brought in the state or federal courts located in California, and you consent to the jurisdiction of those courts.

20. Severability

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between you and SurePrice regarding the Services and supersede all prior agreements or understandings relating to the Services.
